# Chatips Terms of Service

These Terms are a contract between you (the person or organisation that creates a Chatips account) and **Ellen . Lee**, operating Chatips. They govern the **free public testing** of the service. If a translation differs, **English** applies. **Singapore law** applies.
Chatips is an independent customer-messaging service. It is not affiliated with, endorsed by, or an official product of Chatwoot, Inc.
## 1. The service
Chatips is independent software-as-a-service for customer messaging.
We currently offer the service **free of charge** for testing. There is **no service-level agreement**, no uptime promise, and no guarantee that any feature will remain available. Features may change, break, or be withdrawn during the test. Data may be lost.
Notices for open-source software we use are published in the Chatips application (licence and third-party notices pages). Those notices are not part of these Terms.
## 2. Accounts
You must be at least 18 years old and able to form a binding contract. If you create an account for an organisation, you confirm that you are authorised to bind that organisation.
You must provide accurate information and keep your password and MFA devices safe. You are responsible for activity on your account. We may refuse, limit, or close accounts that appear abusive, illegal, or harmful to the test.
Sign-up may use email verification, hCaptcha, and optional Google sign-in.
## 3. Free test; no fees yet
You pay nothing for this test. These Terms do **not** cover subscriptions, refunds, or taxes. If we later charge for Chatips, we will publish new terms and notify you before you are charged. You can stop using the service instead of accepting paid terms.
## 4. Your content and your customers
You retain rights in the content you and your customers put into Chatips. You grant us a limited licence to host, transmit, store, back up, and process that content **only to provide, secure, and prevent abuse of the service, and to comply with law**.
You confirm that you have the right to send us your customers’ personal data (including messages, files, and voice notes), and that you will provide any privacy notice and obtain any consent required in **Singapore, Malaysia, Indonesia, Vietnam, Thailand**, or any other country where you use Chatips.
For end-customer personal data, we act as a **data intermediary**. You are the organisation responsible for that data. You instruct us to process it through your use of the product (including settings you choose).
You must not use Chatips to collect or send special or high-risk data (for example payment card PAN, government ID, or health records) unless you have a lawful basis and suitable safeguards. We recommend you do not do so during this test.
Launcher position, bubble type, and similar website-widget options are applied through the embed script on **your** website. If you change those options in Chatips, you must update the script on your site for the change to take effect.
## 5. Acceptable use
You must not: break the law; send spam or malware; probe or attack the service; attempt to access other customers’ data; overload the system; or use Chatips in a way that would reasonably get messaging channels banned.
We may suspend or terminate access if we reasonably believe you have breached these Terms.
## 6. AI and voice features
Optional features (including Captain) may transcribe audio, generate embeddings, or generate suggested replies using third-party or platform models. Output can be wrong. You are responsible for what you send to customers. If you connect your own API key, you are also responsible for that provider’s terms and bills.
We do not use your content to train our own models. Third-party providers’ own terms apply to data sent to them.
## 7. Channels (WhatsApp, Telegram, email, voice, and similar)
Those networks are third parties. We are not responsible if they limit, suspend, or change access to your number or bot.
## 8. Intellectual property
Chatips branding and our original modifications belong to us. These Terms do not grant you any third-party trademarks. You may not copy our branding or represent Chatips as someone else’s official cloud.
## 9. Export when the test ends
When this public test ends, or if we or you close the account, **you may email [email protected] to request an export** of your workspace data. We will aim to supply it in a commonly used format **within 30 days**. After a short period to allow export, we may then delete remaining data except records we must keep by law or for security.
We may end the test at any time. We will try to give notice on the website or by email, but we do not guarantee a minimum notice period during this free test.
## 10. Disclaimer and liability
The service is provided **“as is”** and **“as available”** during testing. To the fullest extent permitted by Singapore law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for lost profits, lost data (except that we will honour a valid export request we have actually received and can reasonably fulfil), or indirect or consequential loss. **Our total liability for any claim relating to the free test is S$0**, except for liability that Singapore law does not allow us to exclude (for example fraud, or death or personal injury caused by negligence).
## 11. Indemnity
You will defend and indemnify us against claims, losses, and reasonable costs arising from: your content; your customers; your use of messaging channels; or your breach of these Terms — except to the extent caused by liability that Singapore law does not allow us to exclude.
## 12. Changes
We may change these Terms. The new version applies when posted on this page. Continued use after the effective date is acceptance. If you do not agree, stop using Chatips and request an export.
## 13. Assignment
We may assign these Terms to a company we form to operate Chatips. You may not assign your account without our prior consent.
## 14. General
If a provision of these Terms is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us about the free test, and replace any prior terms about the same subject.
## 15. Governing law
These Terms are governed by the laws of **Singapore**. The courts of Singapore have exclusive jurisdiction, except that either party may still seek urgent injunctive relief where a court allows it.
